Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Sholtis Labs, LLC ("Company," "we," "us") governing your access to and use of the Agent Outpost platform ("Platform"), including all features, content, and services available at agentoutpost.ai.

By creating an account, browsing listings, making a purchase, or listing a product on Agent Outpost, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

Agent Outpost is a two-sided marketplace that enables independent sellers ("Sellers") to list AI-powered agents, tools, automation products, and related services, and enables buyers ("Buyers") to discover, evaluate, and purchase those products.

Sholtis Labs, LLC is a marketplace operator, not a seller. We do not create, own, or warrant any of the AI agents or products listed on the Platform. We provide infrastructure — listings, payments, messaging, reviews, and dispute resolution — but the contractual relationship for any purchased product is between Buyer and Seller.

We reserve the right to modify, suspend, or discontinue the Platform at any time with reasonable notice to registered users.

Eligibility

You must be at least 13 years old to create an account. You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is greater) to make or receive payments through the Platform.

Registration

You agree to provide accurate, current, and complete information during registration and to keep your profile information up to date. You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account.

Account Security

You must notify us immediately at [email protected] if you suspect unauthorized access to your account. We are not liable for losses resulting from unauthorized use of your account caused by your failure to safeguard your credentials.

One Account Per Person

You may not create multiple accounts to circumvent restrictions, bans, or platform rules. Duplicate accounts are subject to immediate termination.

Seller Activation

To sell on Agent Outpost, you must activate a seller account and connect a valid Stripe payout method. By activating a seller account, you also agree to Stripe's Stripe Connected Account Agreement.

Seller Responsibilities

As a Seller, you are solely responsible for:

• The accuracy, legality, and completeness of your listing content
• Delivering the product or service described in your listing within the promised timeframe
• Providing adequate support and documentation to Buyers post-purchase
• Ensuring your listings do not infringe third-party intellectual property rights
• Complying with all applicable laws, including export control laws if your product is distributed internationally
• Reporting and paying any taxes owed on your sales proceeds

Seller Representations

By listing on Agent Outpost, you represent and warrant that: (a) you own or have the necessary rights to sell the listed product; (b) the product functions materially as described; and (c) the listing does not misrepresent the product's capabilities.

Subscription Seller Obligations

Sellers offering subscription-based products are responsible for maintaining ongoing product access and functionality for active subscribers. Discontinuing a subscription product requires at least 30 days' advance notice to active subscribers and to Agent Outpost. Sellers must not materially degrade product functionality for existing subscribers without notice and without offering a pro-rated refund option.

Payouts

Seller payouts are processed via Stripe Connect after deduction of the platform fee. Payout timing is governed by Stripe's payout schedule (typically 2–7 business days after transaction settlement). Agent Outpost reserves the right to hold payouts for up to 30 days pending dispute resolution or fraud review. Sellers must maintain a valid Stripe Connect account in good standing to receive payouts; failure to do so may result in payout delays or suspension of selling privileges.

Purchases

Agent Outpost facilitates transactions between Buyers and Sellers. All charges will appear on your payment statement as "Agent Outpost" or "Sholtis Labs." While Sholtis Labs, LLC is responsible for payment processing, Sellers are solely responsible for their own tax obligations and compliance with applicable law.

Delivery

Digital products (zip archives, scripts, playbooks, API keys, agent credentials, license keys, and access codes) are delivered automatically upon payment confirmation via email and your Buyer dashboard at agentoutpost.ai/dashboard. License keys issued through the Agent Outpost License Server are tied to the email address used at checkout and are non-transferable unless otherwise stated in the listing. For custom or service-based listings, delivery terms are set by the Seller in the listing description. You should review these terms before purchasing.

Buyer Responsibility

You are responsible for ensuring that the product you purchase is appropriate for your intended use. AI agents and tools may have limitations, produce incorrect outputs, or require technical expertise to deploy. We recommend reviewing listing descriptions, reviews, and seller profiles before purchasing.

Subscriptions

Some listings offer monthly or annual subscription access. Subscriptions auto-renew at the end of each billing period unless cancelled before the renewal date from your Buyer dashboard or by contacting [email protected]. Cancellation takes effect at the end of the current billing period; you retain access until that date. Refunds for subscription renewals are at Agent Outpost's discretion per the Refund Policy in Section 8.

Chargebacks

Initiating a chargeback through your card issuer without first attempting resolution through our dispute process is a violation of these Terms and may result in account suspension and forfeiture of any pending seller payouts.

Listing Standards

All listings must accurately describe the product or service being sold. Listings must include a clear description, accurate pricing, and realistic delivery timeframe. Misleading, deceptive, or fraudulent listings are prohibited and will be removed.

Prohibited Listings

The following are not permitted on Agent Outpost:

• Agents designed to scrape, spam, defraud, or harass individuals or organizations
• Malware, exploits, or tools designed to compromise computer systems
• Products that violate export control laws or sanctions
• Listings that infringe on the intellectual property of third parties
• Adult content, illegal services, or anything prohibited by applicable law
• Products that claim to provide medical, legal, or financial advice as a regulated professional service

Content Moderation

We reserve the right to remove any listing at any time, with or without notice, if we determine it violates these Terms, our content policies, or applicable law. Repeat violations will result in seller suspension.

User-Generated Content

By posting reviews, messages, or other content on the Platform, you grant Sholtis Labs, LLC a non-exclusive, royalty-free, worldwide license to display and use that content to operate the Platform. You retain ownership of your content but warrant that it does not violate any third-party rights.

Agent Outpost charges a platform fee on each completed transaction. Platform fees are tiered based on your prior-quarter gross sales volume (GMV) and are deducted from the seller payout at time of purchase. The current fee structure is:

Taxes

Sellers are solely responsible for determining, collecting, and remitting any applicable sales, VAT, GST, or other taxes on their sales. Agent Outpost does not collect or remit taxes on behalf of Sellers unless required by law. We may issue 1099-K forms to US-based sellers as required by IRS reporting thresholds.

Dispute Process

If you have an issue with a transaction — non-delivery, product not as described, or seller unresponsiveness — you should:

1. First contact the Seller directly via the platform's messaging system
2. If unresolved within 48 hours, open a formal dispute via the Disputes page
3. Agent Outpost will review the dispute and may request evidence from both parties
4. Agent Outpost's decision on disputes is final within the platform

Refund Policy

Because most products on Agent Outpost are digital (API keys, agent credentials, access links), all sales are final by default. Refunds may be issued at Agent Outpost's discretion in the following cases:

• The product was not delivered within the stated timeframe
• The product materially fails to function as described in the listing
• The listing was fraudulent or contained materially false information
• Duplicate payment due to a platform or payment processing error

All sales are final. Refunds are issued only at Sholtis Labs, LLC's sole discretion in cases of verified technical failure preventing delivery of the purchased product. To request a review, contact support within 7 days of purchase through the Disputes process.

Chargebacks

If a Buyer initiates a chargeback with their card issuer without following the dispute process, Agent Outpost reserves the right to suspend or terminate that Buyer's account and recover any funds paid out to Sellers as a result of the chargeback.

You agree not to:

• Use the Platform for any unlawful purpose or in violation of these Terms
• Attempt to gain unauthorized access to any account, system, or database
• Scrape, crawl, or data-mine the Platform without written permission
• Interfere with the Platform's infrastructure (DDoS, injection attacks, etc.)
• Circumvent any security or access-control measures
• Create fake reviews or manipulate a seller's reputation
• Use the messaging system to spam, harass, or send unsolicited commercial offers
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Attempt to conduct transactions off-platform to avoid platform fees
• Use automated accounts ("bots") to interact with the Platform without written permission
• Misrepresent AI capabilities, training data, accuracy, or performance benchmarks in listing descriptions
• Use Agent Outpost infrastructure to collect or harvest buyer data for off-platform marketing
• List products that embed undisclosed tracking, telemetry, or data collection targeting end users
• Offer or solicit reviews in exchange for refunds, upgrades, or other compensation

Violations may result in immediate account suspension or termination without refund of any fees paid.

Platform IP

All intellectual property rights in the Agent Outpost platform — including its design, code, branding, and content created by Sholtis Labs, LLC — are owned by Sholtis Labs, LLC You are granted a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose. Nothing in these Terms transfers any IP ownership to you.

Seller IP

Sellers retain all intellectual property rights in their listed products. Posting a listing does not transfer ownership of the underlying agent or product to Agent Outpost. Sellers grant Agent Outpost a limited license to display listing content (title, description, images) for the purpose of operating the marketplace.

Buyer License

When a Buyer purchases a product, the Buyer receives the license granted by the Seller in the listing (e.g., personal use, commercial use, SaaS deployment). If no license terms are stated, Buyers receive a non-exclusive, non-transferable personal use license. Resale of purchased products requires explicit Seller permission.

DMCA

If you believe a listing infringes your copyright, send a takedown notice to [email protected] with: (1) identification of the copyrighted work; (2) identification of the infringing listing; (3) your contact information; (4) a statement of good faith belief; (5) a statement of accuracy under penalty of perjury; and (6) your signature.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SHOLTIS LABS, LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
• WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE
• WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF ANY LISTED PRODUCT
• WARRANTIES THAT AI AGENTS LISTED ON THE PLATFORM WILL PRODUCE ACCURATE, SAFE, OR USEFUL OUTPUTS

AI agents and tools are experimental in nature. Buyers acknowledge that AI outputs may be inaccurate, incomplete, biased, or inappropriate for their intended use. Agent Outpost makes no representations about the suitability of any listed AI agent for any specific application. AI-generated outputs do not constitute professional legal, medical, financial, or regulatory advice. Any outputs produced by AI agents purchased on the Platform should be reviewed by a qualified professional before reliance. Sellers are prohibited from marketing their products as substitutes for licensed professional services.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SHOLTIS LABS, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or data
• Business interruption
• Harm caused by AI agents purchased through the Platform
• Unauthorized access to your account or transactions
• Conduct or products of any Seller on the Platform

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless Sholtis Labs, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Platform in violation of these Terms
• Your listing content, including any claim that it infringes a third party's rights
• Products you sell on the Platform and any harm they cause to Buyers
• Your violation of any applicable law or regulation
• Any dispute between you and another user of the Platform

We may suspend or terminate your account at any time, with or without cause, with reasonable notice — or immediately if you violate these Terms, engage in fraudulent activity, or pose a risk to other users or the Platform.

You may close your account at any time from your account settings or by contacting [email protected]. Upon termination:

• Pending orders will be completed or refunded at Agent Outpost's discretion
• Unpaid seller payouts for completed orders will be processed per normal schedule
• Your account data will be deleted per the retention periods in our Privacy Policy
• Your listings will be deactivated and no longer visible to Buyers

Sections 10–13 of these Terms survive termination.

Governing Law

These Terms are governed by the laws of the State of Maryland, United States, without regard to its conflict-of-law provisions.

Informal Resolution First

Before initiating any formal dispute proceeding, you agree to first contact us at [email protected] and give us 30 days to attempt to resolve the issue informally.

Binding Arbitration

If informal resolution fails, any dispute arising out of or relating to these Terms or the Platform shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. You and Sholtis Labs, LLC waive the right to a jury trial and to participate in a class action.

Class Action Waiver

Any arbitration shall be conducted on an individual basis. You may not bring claims as a plaintiff or class member in any class or representative proceeding.

Small Claims Exception

Either party may bring claims in small claims court in the county of your residence or in the State of Maryland, if the claim qualifies and remains in that court.

We may update these Terms from time to time. When we make material changes, we will:

• Update the "Last updated" date at the top of this page
• Send a notification email to registered users
• Post a prominent notice on the Platform for 30 days

Your continued use of Agent Outpost after the effective date of updated Terms constitutes acceptance. If you disagree with any changes, close your account before the changes take effect.
