Seller Agreement

1. Who This Agreement Covers

This Seller Agreement ("Agreement") is between you ("Seller") and Sholtis Labs, LLC ("Agent Outpost", "we", "us") and governs your use of the Agent Outpost platform to list, sell, and deliver digital products and AI agents.

By creating a seller account or submitting any listing, you agree to these terms in full.

2. What You Can Sell

You may list:

• AI agents and automation scripts (deployable, working software)
• Prompt packs and playbooks (clearly labeled as No-DRM products)
• Research tools, data pipelines, and analysis agents
• Templates, integrations, and productivity automation

You may not list:

• Products you do not own or have rights to sell
• Malware, exploits, scrapers targeting unauthorized systems, or any software designed to cause harm
• Products that impersonate another brand, company, or creator
• Adult content, weapons, or anything illegal under U.S. law
• Products that violate the terms of third-party APIs or platforms (e.g. selling GPT wrappers that violate OpenAI ToS)
• Products that claim to provide medical, legal, financial, or other licensed professional advice as a substitute for a qualified professional
• AI products with false or materially misleading performance claims (e.g. "100% accurate," "never hallucinates")
• Products that include undisclosed tracking, telemetry, or data collection targeting the buyer or their end users

Agent Outpost reserves the right to remove any listing at our discretion without prior notice.

3. Revenue Share & Payouts

New sellers start at Rookie. Tiers are reassessed at the start of each calendar quarter. Stripe's processing fee (~2.9% + $0.30) is passed to the buyer at checkout and does not affect your payout.

• Payouts are processed via Stripe Connect. You must connect a Stripe account to receive funds.
• Payouts are sent on Stripe's standard payout schedule (typically 2–7 business days after a completed sale, depending on your Stripe account settings). This timeline is governed by Stripe, not Agent Outpost.
• If you do not have a connected Stripe account at the time of sale, your payout is held for up to 30 days. If unconnected after 30 days, the held funds are forfeited to Agent Outpost.
• Agent Outpost does not process payouts manually. You are responsible for keeping your Stripe Connect account current.

4. Licensing Types

When you list a product, you choose one of four license types:

• Single License, one buyer, one machine. Enforced via AGOP license key.
• Team License (5 seats), up to 5 activations. Enforced via AGOP license key.
• Unlimited License, unlimited activations. Enforced via AGOP license key.
• No DRM. Download Only, no key enforcement. Buyer gets the file directly. Use for playbooks, templates, prompt packs.

You are responsible for setting the correct license type for your product. Misrepresenting a product's licensing terms (e.g. claiming "lifetime unlimited" but shipping a single-seat key) is grounds for immediate removal and refund.

5. Delivery & Product Quality

• Your product must work as described. "Works on my machine" is not a sufficient quality standard.
• For code products: include a README with setup instructions, dependencies, and a working example. Products without a README may be delisted.
• For No-DRM products: the ZIP or file you upload must be the complete deliverable, not a link to a Google Doc or external repo.
• For AI agent products: you must clearly disclose in your listing what AI model(s) the product uses, any API keys or external services the buyer must provide at their own cost, and any significant known limitations of the AI outputs.
• You are responsible for all updates to your product. If a buyer reports your product is broken due to an upstream API change, you are expected to update it within a reasonable timeframe (suggested: 30 days for critical breakages).
• Agent Outpost does not test or verify products before listing. Quality is your responsibility.

6. Subscription Products

• If you offer a subscription-based listing, you are committing to maintain ongoing access and functionality for active subscribers.
• You must give active subscribers and Agent Outpost at least 30 days' advance notice before discontinuing or materially degrading a subscription product.
• Subscribers are entitled to a pro-rated refund if you discontinue a subscription without adequate notice.
• Subscription pricing changes require 30 days' notice to existing subscribers. Existing subscribers are grandfathered at their current rate until their next renewal after the notice period.

7. Refunds & Disputes

• After 24 hours, refunds are discretionary and handled case-by-case through the disputes system.
• If a buyer opens a dispute and Agent Outpost determines the product was materially misrepresented or non-functional, a refund will be issued from your seller balance.
• Chargebacks initiated through Stripe are handled directly by Stripe. If Stripe rules in favor of the buyer, the chargeback amount plus any Stripe chargeback fee is deducted from your account.
• Excessive disputes or refund rates (>10% of total sales) may result in account suspension.

8. Intellectual Property

• You retain full ownership of your listed products. Listing on Agent Outpost does not transfer IP rights to us.
• You grant Agent Outpost a non-exclusive license to display your listing content (title, description, screenshots) for the purposes of marketing and operating the platform.
• By uploading a product, you warrant that you have all rights necessary to sell it, and that it does not infringe any third-party intellectual property.
• If you receive a valid DMCA takedown notice related to your listing, we will remove it immediately. Repeated IP violations result in permanent account ban.

9. Account Standards

• One seller account per person or company. Do not create duplicate accounts.
• Your listed email address must be real and monitored, buyer questions and dispute notices go there.
• Do not solicit buyers to take transactions off-platform to avoid Agent Outpost fees. This is grounds for immediate permanent ban.
• Do not review your own products or solicit fake reviews in exchange for refunds, upgrades, or compensation of any kind.
• Your listing title, description, screenshots, and any demo materials must accurately reflect the actual product delivered. You may not use AI-generated screenshots or fabricated benchmark results in your listing.
• Your short listing URL (e.g. agentoutpost.ai/l/35) is permanently assigned to your listing. You may not transfer or resell it.

10. Termination

Either party may terminate at any time. If you close your seller account:

• Active listings are immediately archived.
• Existing buyers retain access to products they purchased and their license keys remain valid.
• Any pending payouts due to you will be processed on the normal schedule.

Agent Outpost may terminate your account immediately (without notice) for: fraud, IP violation, chargeback abuse, selling prohibited products, or any conduct that harms buyers or the platform.

11. Limitation of Liability

Agent Outpost provides the platform "as-is." We are not liable for: revenue lost due to platform downtime, bugs in the dispute system, Stripe payment failures, or buyer misuse of your product. Your total remedy in any dispute with Agent Outpost is a refund of our platform fees from the affected transaction.

12. Governing Law

This Agreement is governed by the laws of the State of Maryland, USA. Any disputes shall be resolved in the courts of Maryland, or through binding arbitration at either party's election.

13. Changes to This Agreement

We may update these terms. If changes are material, we will notify you by email at least 14 days before they take effect. Continued use of your seller account after that date constitutes acceptance.
